Institutional access. Global reach.
Open Markets is ananalytics-led consulting firm
Open Markets originates, structures and coordinates financings and transactions that conventional providers do not price. One team runs each mandate from first analysis to settlement.
Four practices
One process, end to end
Every mandate follows the same five stages, from the analytics that identify the opportunity to the placement that closes it. The team that originates a transaction is the team that executes it.
Discuss a mandate
Management consulting, structured financing, PE and VC consulting and vehicle formation. The firm acts for issuers, sponsors, fund managers and co-originating partners.

An independent analytics, structuring and consulting firm serving institutional capital markets from the GCC.
Why Open Markets
Long-dated relationships with principals across the capital structure and the market cycle.
Execution record
The partners have closed financings and transactions across several jurisdictions, and stay on each mandate from the first analysis until it settles.
Market fit
Every structure is tested against what the market will take before it is proposed. The partners bring experience from bulge-bracket banks to boutiques, so a mandate is shaped to the counterparties that will actually hold it.
Analytics-led
A single first-principles analytical platform supports origination, structuring, product engineering and placement across all four practices.
Relationship-driven
Engagement is governed by the durability of the relationship and the client's franchise, not by any single fee event.
Full-lifecycle coverage
Capability across the corporate lifecycle, with capacity to engage at any stage from initial structure through final settlement.
Cycle-tested
Continuity of coverage across rate regimes, liquidity contractions and drawdowns.
The Team
A partner leads every mandate from origination to close. Partners and advisors with prior roles at Credit Suisse, JP Morgan, Bank of America Merrill Lynch, Moelis & Company, SoftBank Investment Advisers, MUFG and Princeville Capital, alongside family-office and structured-finance principals. Coverage spans four practices and five core markets.

Management consulting, structured credit, PE and VC consulting and sponsored vehicles, executed on a common process.
Mandates are led by the practice the situation requires and draw on the others where the structure demands it — a carve-out that requires a listing, a monetisation that requires an offtake, a fund that requires a wrapper. Each is executed as a single mandate.
Across all four, the methodology is consistent: establish what the asset or cash flow can support, structure the instrument around the binding constraint — collateral, consent, offtake, valuation frequency — and price it to the institution that will hold it.

Inaugural fund of a private-market index manager, built to give investors diversified exposure to late-stage venture-backed companies valued at US$1bn or more, which are staying private longer and scaling before any listing. As a debut vehicle it faced the allocator screening constraints that apply to first-time funds regardless of strategy quality, and required anchor commitments to establish institutional credibility.
Consulting and introduction role on the inaugural offering, alongside the offering's arranger and distribution platform. Open Markets introduced US$15mm of commitments to the fund from its family-office and institutional relationships.
Closed-end, rules-based vehicle tracking an index of the 20 largest US venture-backed unicorns, distributed to family offices, high-net-worth investors and funds of funds through a third-party alternatives marketplace. Fund closed; the manager is now raising a successor fund.
An emerging-market hedge fund running a cash-and-carry strategy: long high-yielding local-currency instruments, with the currency exposure hedged forward, to capture the carry between emerging-market and hard-currency rates. The strategy required a dedicated FX facility sized to the book, with margin and reset mechanics that hold through local-currency volatility.
Due diligence on the strategy and the underlying positions, structuring of the trade and the facility product, and introductions to the counterparties that provided the line.
US$70mm FX facility against the hedged carry book, with eligibility, haircuts, margin thresholds and reset terms set to the volatility of the underlying currencies. Closed and drawn.
The firm holds a portfolio of emerging-market money market fund positions and other emerging-market assets and sought term leverage against the portfolio from institutional lenders.
Exclusive consultant on the full US$150mm facility: structuring the leverage against the underlying positions, coordinating the lender group and managing execution through closing.
Leverage facilities secured on the emerging-market money market fund holdings and other emerging-market positions. Aggregate size US$150mm. Exclusive mandate across the entire facility.
A BRSA-licensed asset-management company acquiring charged-off consumer loan portfolios at deep discounts and collecting over multi-year recovery curves. Domestic funding is short-tenor and lira-denominated; international capital requires USD exposure, a rating and true-sale separation.
Structuring and coordination consultant on the note programme, managing the process with international institutional holders.
True-sale of portfolios into a bankruptcy-remote SPV issuing USD notes in series; US$150mm programme. Collections FX-hedged; notes rated and guarantee-wrapped; over-collateralisation of 1.60×; servicer economics subordinated so third-party noteholders rank senior to the operator's residual.
A nine-figure collection held by two parties, one exiting. No standard lending market exists at this scale; specialist channels dominate and the asset class has repriced upward, with the single-book record reaching US$15.0mm in January 2026.
Structuring and coordination consultant. Structured the holder consolidation, built the borrowing-base and financing model, and manages the lender process with specialist asset-backed lenders.
Both holders contribute interests to a single SPV at close; the continuing holder takes the equity and the exiting holder is settled in cash from the first draw. A US$100mm leveraged acquisition facility funds settlement and further purchases against a graded borrowing base, designed to refinance into a collateralised bond once the pool is ramped.
A venture-exchange-listed materials company whose battery intellectual property and contracted offtake are not reflected in the parent\'s valuation, while listed pure-plays in the same technology trade at a substantial premium. The parent\'s other programmes, its European affiliate and its grant eligibility had to remain untouched.
Structuring and management consultant to the parent\'s board and to the new company. Designed the carve-out perimeter and consideration package, built the valuation and offtake analysis supporting the round, mapped the related-party approvals and reporting through the hold, and coordinates the agreement suite and the pre-IPO investor process.
A special-purpose company acquires the battery asset package — assigned offtake agreements, an exclusive IP licence and an option over the affiliate\'s battery unit — for cash at close, a founder stake and a royalty to the parent. A convertible preferred pre-IPO round funds the purchase, the production line and the team, ahead of a planned NASDAQ listing.

Summary
Open Markets is a analytics, structuring and consulting house. It is not a licensed broker-dealer, investment adviser, placement agent, underwriter or bank; it does not run funds, charge performance fees or hold client assets or money. Where a mandate requires regulated activity, that activity is carried out through appropriately authorised and licensed partners and affiliates. Nothing on this website is an offer, a solicitation or advice.
01 Nature of the firm
Open Markets L.L.C-FZ ("Open Markets" or "the firm") is a analytics, structuring and consulting house. It decomposes market structure through primary analytics, engineers the structures its analytics identify, and coordinates those structures through to placement and settlement.
Open Markets is not a registered or licensed broker-dealer, investment adviser, placement agent, underwriter, exchange, custodian, credit institution or bank in any jurisdiction. It does not run funds, does not charge performance fees, and does not hold, control or take custody of client assets or client money.
The firm is remunerated for consulting, structuring and coordination work. Descriptions elsewhere on this website of the firm "placing" an instrument refer to the firm's structuring, coordination and process-management role in a transaction; regulated placement and distribution activity is carried out by the authorised parties described in section 02.
02 Regulated activities and authorised partners
Where a mandate requires an activity that is regulated in the relevant jurisdiction — including dealing in or arranging deals in investments, advising on investments, managing investments, safeguarding and administering assets, or the placement, offering or distribution of financial instruments — that activity is carried out by appropriately authorised and licensed partners, affiliates or third parties engaged for that purpose.
Open Markets does not perform, and does not hold itself out as performing, any activity for which it is not appropriately licensed. Nothing on this website should be read as an offer by Open Markets to perform a regulated activity on its own account or licence.
03 No offer or solicitation
This website, and any materials the firm distributes, do not constitute an offer to sell, or a solicitation of an offer to buy or subscribe for, any security, financial instrument, loan participation, fund interest or other investment, in any jurisdiction. No part of this website forms the basis of, or may be relied upon in connection with, any contract or commitment.
Any offering of securities or other instruments referred to on this website would be made only to eligible persons, in the relevant jurisdiction, pursuant to definitive offering, subscription or facility documentation containing full terms, risk factors and selling restrictions. In the event of any inconsistency, that documentation prevails over anything stated here.
04 No advice
Nothing on this website constitutes investment, financial, legal, tax, accounting or regulatory advice, or a personal recommendation, and no fiduciary or advisory relationship is created by accessing it. The content does not take into account the objectives, financial situation, knowledge, experience or particular needs of any person.
Recipients should obtain their own independent professional advice, and conduct their own due diligence, before entering into any transaction of the kind described on this website.
05 Nature of the materials
Presentations, term sheets, models, memoranda and other materials prepared by Open Markets (the "Materials") are prepared for information and discussion purposes only. They are private and confidential and may not be reproduced or distributed, in whole or in part, without the prior written consent of Open Markets.
By accepting the Materials, the recipient agrees to be bound by the limitations set out in them and in this notice.
06 Illustrative and indicative content
Market data is drawn from third-party sources believed reliable but not independently verified by Open Markets. No representation or warranty, express or implied, is made as to the accuracy, completeness or fairness of any information on this website, and no responsibility or liability is accepted for any error, omission or subsequent change.
Certain figures, comparisons, structures, sizes, coupons, coverage levels, advance rates, timetables and statuses shown on this website are illustrative or indicative only. They are subject to change, subject to definitive documentation, and are not commitments, underwriting, quotations or firm terms. Figures shown in brackets are placeholders pending confirmation.
07 Representative mandates and past results
Selected mandates described on this website are representative of live and recent work. They are presented on a no-name basis, are not a complete record of the firm's engagements, and are not presented as a performance record. Statuses are indicative as at the date shown and change without notice.
A description of a mandate does not imply that the transaction completed, that it was completed on the terms described, or that any counterparty endorses Open Markets. Past results do not guarantee, and are not indicative of, future outcomes.
08 Forward-looking statements
This website and the Materials may contain forward-looking statements — including projections, pipelines, EBITDA paths, expected returns, coverage ratios, timetables and target sizes. Forward-looking statements involve known and unknown risks and uncertainties, are based on assumptions that may prove incorrect, and are not guarantees of future performance. Actual results may differ materially.
Open Markets undertakes no obligation to update or revise any forward-looking statement, whether as a result of new information, future events or otherwise.
09 Jurisdictional restrictions
This website is not directed at, and its content is not intended for distribution to or use by, any person or entity who is a citizen or resident of, or located in, any jurisdiction where such distribution, publication, availability or use would be contrary to law or regulation, or would subject Open Markets or any of its affiliates to any registration, licensing or authorisation requirement in that jurisdiction.
Persons accessing this website are responsible for informing themselves about, and observing, any applicable restrictions. In particular, no instrument referred to on this website has been or will be registered under the U.S. Securities Act of 1933, as amended, or with any securities regulatory authority of any state or other jurisdiction, and none may be offered or sold in the United States absent registration or an applicable exemption.
10 Eligible counterparties
The transactions and structures described on this website are intended solely for institutional and professional counterparties — including professional clients, eligible counterparties, qualified investors, accredited investors, qualified purchasers and equivalent categories under applicable law. They are not intended for, and are not suitable for, retail investors.
Where the firm or an authorised partner engages with a counterparty, eligibility is assessed and documented before any offering material is provided.
11 Conflicts of interest
Open Markets acts for multiple clients across four practices and may act, or have acted, for parties whose interests conflict or compete. The firm may be engaged on both sides of a market — for example advising an issuer while a separate mandate serves a holder of the same asset class — and may receive fees from more than one party in connection with a transaction.
Actual and potential conflicts are identified at engagement, disclosed to affected clients, and managed through engagement terms, deal-team separation and information barriers. Where a conflict cannot be managed to the satisfaction of the affected parties, the firm declines or resigns the mandate.
12 Sponsored vehicles and independent governance
Where Open Markets sponsors or designs a listed or registered vehicle, that vehicle is governed independently. Directors approve, review and renew the vehicle's arrangements; the sponsor prepares materials and runs the process. Fee and expense terms are benchmarked against comparable vehicles and are subject to periodic review by directors who do not work for the sponsor.
Offering and distribution of any such vehicle is carried out by the appointed licensed distributor. Open Markets designs the vehicle, assembles the service providers and coordinates the launch.
13 Anti-money laundering, sanctions and client onboarding
Open Markets applies client onboarding, identification and verification procedures before accepting a mandate, including beneficial-ownership identification, source-of-funds and source-of-wealth enquiry, politically-exposed-person screening and sanctions screening against applicable United Nations, United Arab Emirates, United States, United Kingdom and European Union lists.
The firm does not act for, and will terminate any engagement with, persons or entities that are subject to applicable sanctions or that decline to satisfy its onboarding requirements. Transactions that cannot be evidenced to the firm's satisfaction are declined.
14 Confidentiality and information barriers
Client information is held in confidence and used only for the purposes of the mandate, subject to any disclosure required by law, regulation or a competent authority. Deal teams are separated where the firm holds price-sensitive or competitively sensitive information relating to more than one mandate, and personnel are subject to confidentiality and personal-dealing restrictions.
Client identities are withheld in the firm's public materials except where named with the client's consent.
15 Data protection and cookies
Open Markets processes personal data provided through this website or in the course of an engagement only for legitimate business purposes — responding to enquiries, performing onboarding and due diligence, delivering mandates and meeting legal and regulatory obligations. Personal data is retained for as long as required for those purposes and applicable record-keeping periods, and is not sold or made available for third-party marketing.
This website does not use advertising or third-party tracking cookies. Where analytics or functional cookies are used, they are limited to measuring website performance. Requests relating to access, correction, deletion or objection may be sent to contact@openmarkets.ae.
